  1.  Invocation, call to order, and establish quorum.

  2. Public Comments (3-minute limit).

  3. Discuss and consider taking action to approve the minutes from the Board of Directors' meetings held on March 21, 2026, and April 14, 2026.

  4. Discuss and consider taking action to approve the Acting Secretary Report.

  5. Discuss and consider taking action to review and reappoint or modify the legal registered agent for OEHC and its associated entities. 

  6. Discuss and consider taking action to approve a budget for Key West Senior Village Phase I & Phase II.

  7. Discuss and consider taking action to approve the financial reports for Key West Senior Village Phase I & Phase II.

  8. Discuss and consider taking action to approve authorization to enter into Executive Session under the Texas Government Code
    1. 551.074 - Personnel Matters: Deliberation regarding the appointment, employment, evaluation, reassignment, duties, discipline, or dismissal of a public officer or employee (appointing an Interim Secretary).

    2. 551.071 - Consultation with Attorney: legal advice re the personnel matter and associated obligations.

  9. Reconvene in Open Session.

  10. Consider and/or take action to appoint an Interim Secretary and approve a resolution to transfer management authority.

  11. Discuss and consider taking action to approve a resolution and incumbency certificate to facilitate banking, legal, and internal communications and transactions.

  12. Discuss and consider taking action regarding Consultation with Attorney.

  13. Discuss and consider taking action to adjourn.
